1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and White Eudicots Private Limited ("Company", "we", "us", "our"), the operator of Liaison 360 at www.liaison360.com and its associated applications.
Liaison 360 is a pan-India institutional ecosystem platform serving educational institutions, students, vendors, staff, and associated stakeholders through nine integrated modules: Admissions (Swapn Setu), Liaison CONNECT (Procurement), Staffing & Recruitment, Institutional Consulting & Planning, Capital Consulting, Legal Desk, Institutional Improvement Scan (IIS), Digital Institutional Profile, and Apex Circle.
By accessing or registering on Liaison 360, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must discontinue use of the platform immediately.
2. Eligibility
To use Liaison 360, you must:
- Be at least 18 years of age, or if you are a minor, have verifiable consent from a parent or legal guardian
- Have the legal authority to enter into this agreement — if registering on behalf of an institution, you represent that you are authorised to bind that institution to these Terms
- Not be prohibited from using the platform under applicable Indian law
3. User Registration and Account Security
Users must register with accurate, complete, and up-to-date information. You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
Institutions registering on the platform represent that the contact persons and authorised representatives identified during registration are duly authorised to act on behalf of the institution.
You must notify us immediately at info@liaison360.com if you become aware of any unauthorised access to your account.
4. Platform Services
Liaison 360 provides access to nine service modules as listed in Section 1. The platform acts as a structured digital facilitator and ecosystem connector — it does not replace the institutional, legal, or regulatory responsibilities of any user.
4.1 Procurement (Liaison CONNECT)
The platform connects institutions with verified vendors. All procurement decisions, vendor selection, purchase orders, and contractual commitments remain the sole responsibility of the institution. Liaison 360 facilitates the connection and comparison process but is not a party to any procurement contract between an institution and a vendor.
4.2 Staffing and Recruitment
The platform provides recruitment workflow support. All hiring decisions, employment contracts, background verifications, and staffing outcomes remain the sole responsibility of the institution. Liaison 360 does not guarantee placement or recruitment outcomes.
4.3 Admissions and Swapn Setu Scholarships
The platform supports the admissions and scholarship discovery process. Admission decisions, scholarship awards, and enrollment outcomes remain the sole responsibility of the respective institution. Liaison 360 does not guarantee admissions or scholarship approvals.
4.4 Consulting, Capital, and Legal Services
Consulting, capital advisory, and legal support services delivered through the platform are provided by qualified professionals engaged through Liaison 360's network. These professionals operate independently and are responsible for their own advice and deliverables. Liaison 360 facilitates access and coordination but does not guarantee specific consulting, funding, or legal outcomes.
4.5 Institutional Improvement Scan (IIS)
The IIS and Performance Diagnostic Report (PDR) are diagnostic and advisory tools. Recommendations provided are based on information submitted by the institution and are intended as guidance for institutional leadership. They do not constitute a formal accreditation, certification, or regulatory endorsement.
4.6 Apex Circle
Apex Circle is a premium membership offering for institutional leadership. Access to luxury services and partner offerings is subject to availability, partner terms, and individual membership conditions communicated at the time of enrolment.
5. Prohibited Activities
Users must use Liaison 360 ethically, professionally, and in compliance with applicable Indian law. The following activities are strictly prohibited:
- Submitting false, misleading, or fraudulent information
- Impersonating another institution, individual, or entity
- Attempting to gain unauthorised access to other accounts or system components
- Scraping, reverse-engineering, or copying platform content, structure, or workflows
- Using the platform for purposes unrelated to education, institutional operations, or professional services
- Engaging in spam, phishing, or unsolicited communication through the platform
- Uploading content that is defamatory, obscene, or in violation of any law
- Any activity that interferes with the operation, security, or integrity of the platform
Violation of these prohibitions may result in immediate account suspension, permanent restriction, recovery of damages, and/or legal action as appropriate under Indian law.
6. Intellectual Property
All content, design, branding, module structure, workflows, software, documentation, and related materials on Liaison 360 are the intellectual property of White Eudicots Private Limited or its licensors and are protected under the Copyright Act, 1957 and other applicable Indian intellectual property laws.
Users are granted a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purpose. No content may be copied, reproduced, republished, modified, distributed, or commercially exploited without prior written permission from White Eudicots Private Limited.
7. Fees and Payments
Certain modules, services, and membership offerings on Liaison 360 may be subject to fees, subscription charges, or service costs. Applicable fees will be communicated to users clearly before any payment is initiated.
Specific payment terms, refund conditions, and cancellation policies applicable to each paid service will be provided at the point of purchase or service engagement and shall form part of the agreement for that specific service. In the absence of specific terms, all payments made to Liaison 360 are non-refundable unless otherwise agreed in writing by White Eudicots Private Limited.
All applicable taxes including GST will be charged as per prevailing Indian tax regulations.
8. Data Privacy
The collection, use, storage, and protection of personal data submitted through Liaison 360 is governed by our Privacy Policy, which forms an integral part of these Terms. By accepting these Terms, you also accept our Privacy Policy.
9. Confidentiality
Users agree to maintain the confidentiality of all institutional information, student data, vendor details, legal documents, and strategic plans accessed through the platform. Confidential information obtained through the platform must not be disclosed to any third party without the express written consent of the information owner.
10. Service Availability and Modifications
Liaison 360 aims to maintain continuous platform availability. However, temporary interruptions may occur due to scheduled maintenance, technical issues, security updates, or circumstances beyond our control.
We reserve the right to modify, update, add, or discontinue any feature, module, or service without prior notice where operationally necessary. Where material changes are made that affect paid services, users will be notified with reasonable advance notice.
11. Force Majeure
Liaison 360 shall not be held liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, government actions, internet infrastructure failures, power outages, civil unrest, or global health emergencies.
12. Limitation of Liability
To the maximum extent permitted by applicable Indian law, White Eudicots Private Limited shall not be liable for:
- Indirect, incidental, consequential, or punitive damages arising from platform use
- Loss of revenue, data, business opportunities, or institutional reputation
- Outcomes of procurement decisions, hiring decisions, admissions decisions, or consulting advice
- Regulatory changes or compliance failures by institutions
- Temporary platform unavailability or technical errors
Our total aggregate liability for any claim arising from use of the platform shall not exceed the fees paid by you to Liaison 360 in the three months preceding the claim.
13. Dispute Resolution and Governing Law
In the event of any dispute, claim, or disagreement arising from or in connection with these Terms or the use of the Liaison 360 platform, both parties agree to first attempt resolution through good-faith written communication within 30 days of the dispute arising.
If the dispute remains unresolved, it shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, or appointed in accordance with the Act if no agreement is reached. The seat and venue of arbitration shall be the city of White Eudicots Private Limited's registered office. Proceedings shall be conducted in English.
These Terms are governed by the laws of India. Subject to the arbitration clause above, courts in the city of White Eudicots Private Limited's registered office shall have exclusive jurisdiction over any matters that cannot be resolved through arbitration.
14. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of India. Subject to the arbitration clause in Section 13, the courts of [Insert City] shall have exclusive jurisdiction over any disputes arising from these Terms.
15. Amendments
We reserve the right to amend these Terms at any time. Material amendments will be communicated to registered users via email or a prominent platform notice at least 15 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the amended Terms.
